1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Al Adly & Co, a legal consultancy firm with offices in Dubai, United Arab Emirates, and Giza/Cairo, Arab Republic of Egypt, operated under the leadership of its founder and Managing Partner, Ahmed Adly ("we," "us," or "our").

By accessing or using the website located at https://aladly.co/ (the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations, including the laws of the United Arab Emirates and the Arab Republic of Egypt. If you do not agree to these Terms in their entirety, you must immediately cease use of the Site.

These Terms apply to all visitors, prospective clients, existing clients, and any other persons who access or interact with the Site or our services in any capacity.

Al Adly & Co is a full-service commercial law firm and legal consultancy established and operating in the United Arab Emirates and Egypt. Al Adly & Co is registered and licensed to practise law in the United Arab Emirates and Egypt. Ahmed Adly is a member of the Egyptian Bar Association (since 2003), a registered arbitrator at the Dubai International Arbitration Centre (DIAC), and a member of the Chartered Institute of Arbitrators (CIArb), London.

The specific scope, fees, and terms of any legal engagement shall be governed by a separate written engagement letter or retainer agreement executed between Al Adly & Co and the client. These Terms apply to use of the Site and do not, by themselves, constitute an engagement of legal services.

4. No Attorney-Client Relationship; No Legal Advice

The information published on this Site is provided for general informational and marketing purposes only. It does not constitute legal advice and must not be relied upon as such. Accessing or using this Site, submitting an enquiry form, or communicating with Al Adly & Co through the Site does not, in and of itself, create an attorney-client relationship between you and Al Adly & Co.

An attorney-client relationship is only established upon the execution of a formal written engagement agreement signed by an authorised representative of Al Adly & Co. Until such time, any information you share with us through the Site is not protected by attorney-client privilege.

5. Intellectual Property Rights

All content on this Site — including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software — is the exclusive property of Al Adly & Co or its content suppliers and is protected under the intellectual property laws of the United Arab Emirates (Federal Law No. 36 of 2021 on Intellectual Property Rights) and the Arab Republic of Egypt (Law No. 82 of 2002 on the Protection of Intellectual Property Rights), as well as applicable international conventions.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Site solely for personal, non-commercial purposes. You may not:

  • reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site without the express written permission of Al Adly & Co;
  • use any data mining, robots, scraping, or similar data gathering or extraction tools on the Site;
  • frame or mirror any part of the Site without prior written authorisation;
  • use the Al Adly & Co name, logo, or trademarks in any manner that could cause confusion or that disparages or discredits Al Adly & Co.

Any unauthorised use of the Site's content may give rise to a claim for damages and/or constitute a criminal offence under applicable law.

Al Adly & Co reserves the right to terminate your access to the Site immediately and without notice if you breach any of these provisions.

Al Adly & Co has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Al Adly & Co shall not be liable for any loss or damage arising from your use of any third-party website or service.

8. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Al Adly & Co does not warrant that:

  • any errors in the Site will be corrected.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Al Adly & Co, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with:

  • your access to or use of, or inability to access or use, the Site;
  • any content obtained from the Site;
  • any conduct or content of any third party on the Site;
  • unauthorised access, use, or alteration of your transmissions or content.

This limitation of liability applies regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if Al Adly & Co has been advised of the possibility of such damages.

Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Al Adly & Co and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Site; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your use of the Site caused damage to a third party.

11. Confidentiality

Any information you submit to Al Adly & Co through the Site prior to the establishment of a formal attorney-client relationship is not confidential and is not protected by attorney-client privilege. Al Adly & Co may be required to disclose such information to comply with applicable law, court orders, or regulatory requirements.

Once a formal engagement agreement is in place, the confidentiality of client communications shall be governed by the terms of that agreement and by the applicable professional conduct rules of the UAE and Egypt.

12. Anti-Money Laundering and Know Your Client (AML/KYC)

In accordance with the UAE Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering and Combating the Financing of Terrorism and Illegal Organisations, and the corresponding Egyptian Anti-Money Laundering Law No. 80 of 2002 (as amended), Al Adly & Co is required to conduct due diligence on its clients. By engaging our services, you agree to provide all information and documentation reasonably requested by Al Adly & Co for the purposes of client identification and verification.

13. Professional Regulatory Compliance

Al Adly & Co operates in compliance with the rules and regulations governing the legal profession in the United Arab Emirates (Federal Decree-Law No. 34 of 2023 Regulating the Legal Profession) and in Egypt (Law No. 17 of 1983 on the Legal Profession, as amended). Our legal professionals are bound by the applicable codes of professional conduct and ethical standards of their respective bar associations and regulatory bodies.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the competent courts of the Emirate of Dubai, UAE, unless the parties agree in writing to resolve such dispute through arbitration before the Dubai International Arbitration Centre (DIAC) in accordance with its arbitration rules.

For clients engaging Al Adly & Co exclusively through its Egyptian offices in matters governed solely by Egyptian law, the courts of Cairo, Arab Republic of Egypt shall have jurisdiction, and Egyptian law shall apply.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any separate engagement agreement, constitute the entire agreement between you and Al Adly & Co with respect to your use of the Site and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Al Adly & Co.

17. Amendments

Al Adly & Co reserves the right to modify these Terms at any time at its sole discretion. Material changes will be notified by updating the "Last Updated" date at the top of this page and, where appropriate, by direct communication to registered users. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically.
