Terms and Conditions

1. USER AGREEMENT:

1. This agreement is between the user and Al Adly and Co., hereinafter referred to as "Company", "we", "our", or "us".
2. The use of this platform is subject to user acceptance and compliance with the terms and conditions below, as well as any applicable local laws and regulations.
3. If the user does not agree to any of the Terms and Conditions herein set forth, the user may not use this platform or refrain from using it immediately.
4. Al Adly and Co., in its sole discretion, may make changes, revisions, and/or amendments to the Terms and Conditions herein set forth at any time without further notice to you hereof; such changes will be posted on the platform accordingly.
5. All contents in this platform are protected by applicable intellectual property rights, such as but not limited to the copyright and trademark laws.

2. REGISTRATION:

1. In registering for this platform, the user warrants that the user is of legal age and legally permitted to enter into any agreement under applicable law. Likewise, the user must accurately provide the following: Full Name, Email Address, Telephone Number, Address, Name of the organization (if applicable), and trade license (if applicable). All information provided herein shall be reviewed accordingly and subject to the terms and conditions herein set forth.

2. Users must ensure that the information he/she/it has provided during the registration process is current and accurate. Any misrepresentation, concealment, or fraud in providing such information shall result in the user being dealt with and reported to the concerned authorities. Likewise, the user shall be permanently banned from accessing the platform. After registration, the user will receive a confirmation email with a link. The objective of the confirmation link is to verify the authenticity of your email account.

3. Users must maintain the confidentiality of their accounts and passwords and are fully responsible for all activities on the platform under their accounts.

4. User is prohibited from using another member's account without our, and/or the other user's, express permission. If the User suspects or becomes aware of any unauthorized use of the User's account or that the password is no longer secure, the User must notify us immediately and take steps to re-secure the account.

5. User Registration Details and data relating to the user's use of the Website will be recorded by us, but this information shall not be disclosed to third parties or used for any purpose unrelated to the platform, except as required by law.

6. Al Adly and Co. may send a small file to the user's computer or device (including mobile devices) when he/she/ it visits the platform. This "cookie" will enable us to identify the user's computer, track its behavior on the platform, and to identify the user's particular area/s of interest to enhance the user's future visits to the platform. We shall not use it otherwise than in relation to this platform. Users can change their browser or device settings to reject cookies, but this may prevent the use of certain parts of this platform. Aside from the cookie mentioned herein, we may send you promotions and other advertisements to keep you updated on the latest activities at the destinations we cater to.

7. If the user does not wish us to use his/her information as set out in this agreement, the user should immediately leave the platform before submitting his/her details.

8. If the user does not wish us to use his/her email address to send information concerning the platform and related matters, the user may unsubscribe from the same.

9. We reserve the right to suspend or terminate the user account at our discretion if we deem such suspension appropriate. In the event of such suspension or termination, we will notify you by email, and the user must not seek to re-register either directly or indirectly.

3. ACCESS AND USE OF THE WEBSITE:

1. Users must only use the platform in accordance with the Terms and Conditions herein set forth.

2. User is prohibited from doing the following:

   1. Interfere (or attempt to interfere) or disrupt (or attempt to disrupt) the platform or the servers or networks that hosted the same;
   2. Use (or attempt to use) data mining, robots, screen scraping, or similar data gathering and extraction tools on the platform;
   3. Interfere (or attempt to interfere) with security-related or other features of the platform;
   4. Modify, use, copy, or distribute (or attempt to modify, use, copy, or distribute) content without our express permission;
   5. use any automated device, software process, or means to access, retrieve, scrape, or index our platform or any content on our platform;
   6. use any device, software, process, or means to interfere or attempt to interfere with the proper working of our platform;
   7. undertake any action that will impose a burden or make excessive traffic demands on our infrastructure that we deem, in our sole discretion, to be unreasonable or disproportionate platform usage;
   8. use or index any content or data on our platform.
   9. transmit spam, chain letters, contests, junk email, surveys, or other mass messaging, whether commercial or not;
   10. use our platform or any content from our platform in any manner which we, in our sole discretion, determine as not reasonable and/or not for the purpose for which it is made available;
   11. violate the rights of any person, including copyright, trade secret, privacy right, or any other intellectual property or proprietary right;
   12. pose as any person or entity or attempt to solicit money, passwords, or personal information from any person;
   13. act in violation of any such terms or other conditions posed by us or any applicable law;
   14. reproduce, republish, retransmit, modify, adapt, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade, or in any way exploit our platform or any content on our platform, except as expressly authorized by us; and
   15. Transmit or attempt to transmit any computer viruses, worms, defects, or other items destructively.

3. We reserve the right to use whatever means we deem necessary to prevent unauthorized access to or use of the platform, including, but not limited to, instituting technological barriers or reporting your conduct to any person or entity.

4. The usage shall automatically terminate if the user violates any of these restrictions, and may be terminated by us at any time. Upon terminating user viewing of these materials or upon the termination of this usage, the user must destroy any downloaded materials in their possession, whether in electronic or printed format (if applicable).

5. If users encounter content they find offensive, abusive, or inappropriate, they can flag it for review by administrators.

6. Content shared on the platform may be transported or stored by third-party service providers required to deliver services on the platform to users.

4. INFORMATION CONTAINED ON THE PLATFORM AND USER RESPONSIBILITIES:

1. We host details (if any) in good faith. User is responsible for making inquiries on their own to verify the provided information; we do not accept responsibility, and/ or do we provide a guarantee for the completeness, correctness, or accuracy of the provided information, in part or in full.

2. User represents and warrants that he/she uses of our platform will comply at all times with these Terms of Use and any further terms that may apply to the user in relation to his/her use of our platform.

5. JURISDICTION AND LAW:

1. The laws of the United Arab Emirates shall govern the terms and conditions set forth herein. In the event of any dispute between Al Adly and Co. and the user, the matter shall be brought exclusively before the Dubai Courts.

2. If one or more Terms, in part or whole, are found to be invalid, such invalidity will be limited only to such Terms or part of the Terms and shall not affect the validity of all other valid Terms.

6. LIMITATIONS OF LIABILITY:

1. We are not liable for any direct/ indirect loss/ damage, consequential loss/ damage, loss of profits, revenue, data, or goodwill, howsoever arising, suffered by the user arising in any way in connection with this agreement or for any of the user's liabilities to any third party.

2. While we will make all reasonable attempts to exclude viruses from the platform, we cannot ensure such exclusion, and we do not accept any liability for viruses. Thus, the user is advised to take all necessary precautions before downloading any information or material from the platform.

3. We shall not be liable for any interruption to the service, whether intentional or otherwise.

4. We are not liable for any failure in respect of our obligations hereunder which results directly or indirectly from failure or interruption in the platform or services provided by third parties.

5. We are not responsible for any direct or indirect consequences arising from a user linking to our platform.

7. INDEMNITY AND WARRANTIES:

1. We do not represent or warrant that the information accessible via the platform is accurate, complete, or up to date. We have no liability whatsoever in respect of any use the user makes of such information.

2. No content on the platform has been written to meet his/her requirements, and it is the user's sole responsibility to satisfy himself/herself prior to entering into any transaction or decision that the content is suitable for his/her purposes.

3. All warranties, express or implied, statutory or otherwise, are hereby excluded.

4. User agrees to indemnify, defend and hold harmless the Al Adly and Co. and its owners, directors, officers, employees, agents and their successors from and against any loss (including reasonable legal costs and expenses) or liability incurred or suffered by us arising from any claim, demand, suit, action or proceeding by any person against the user where such loss or liability arose out of, in connection with or in respect of your conduct or breach of this Agreement.

5. User agrees to indemnify and hold us and our affiliates (and our officers, agents, partners, and employees) against any and all loss, liability, claim, or demand, including reasonable attorney's fees, arising out of, or in connection with his/her use of and access to our platform.

8. OBJECTIONABLE CONTENT:

1. User understands that all Content, such as comments, messages, text, files, images, photos, video, sounds and other materials posted on, transmitted through or linked from the Website, the Website's Facebook page, Twitter feed, Instagram, or forum or other like application or site that allows for the publication of user-generated material ("Social Media"), is the sole responsibility of the person from whom such Content originated.

2. The user understands that Al Adly and Co. does not control and is not responsible for Content made available through the Website or Social Media unless it originates from Al Adly and Co.

3. As a user of the platform, the user agrees that he/she/it is responsible for any content submitted, posted, or made available through the Website via his/her account, and he/she must not post (or allow) content to be posted through his/her account that:

   1. is defamatory or in contempt of any legal or other proceedings;
   2. is misleading or deceptive;
   3. is offensive or discriminates against any group of persons, being a group defined by reference to color, race, sex, origin, nationality, or ethnic or national origins;
   4. denounces religious or political beliefs;
   5. contains religious or political material;
   6. is indecent, obscene, vulgar, pornographic, or offensive;
   7. infringes any copyright, trademark, patent, or other intellectual property rights of another person;
   8. contains any unsolicited or unauthorized advertising or promotional material;
   9. contains or links to viruses, malware, spyware, or similar software; or
   10. impersonates any person or misrepresents your relationship with any person.

4. Al Adly and Co., at its sole discretion, reserves the right to pre-screen, refuse, or remove any content from the platform without giving any reasons.

5. The user understands and agrees that we may retain server and backup copies of any submitted content even if the user has altered, removed, or deleted his/her content from public display.

9. INTELLECTUAL PROPERTY RIGHTS:

1. Al Adly and Co. reserves all intellectual property rights, including but not limited to copyright in material and/or services provided by Al Adly and Co. Nothing in this agreement gives the user any right to use any of Al Adly and Co.'s marketing material, business names, trademarks, logos, domain names, or other distinctive brand features.

2. User is prohibited from doing the following:

   1. modify or copy the layout or appearance of the platform; and/or
   2. decompile or disassemble, reverse engineer or otherwise attempt to discover or access any source code related to the platform.

3. Other trademarks used on the platform that belong to third parties are used with permission and remain the intellectual property of the third party (if applicable).

4. If the user corresponds or communicates with Al Adly and Co., the user automatically grants to the latter an irrevocable, perpetual, non-exclusive, royalty-free, worldwide license to use, copy, display, and distribute the content of the user's correspondence or communication and to prepare derivative works of the content or incorporate the content into other works to publish and promote such content. This may include, but is not limited to, publishing testimonials on the Website of Al Adly and Co. or on other platforms, and developing your ideas and suggestions to improve the services provided by the Company.

10. GENERAL CONDITIONS:

If you provide us with any personal information, our Privacy Policy will govern how we will use or disclose that information.

11. AVAILABILITY OF PLATFORM:

We strive to ensure that our platform and services are available to users at all times, but we cannot guarantee that either the platform or the services will operate continuously, without interruption, or be fault-free. On occasion, necessary maintenance or upgrade work may require us to make the platform and services unavailable without notice, but we aim to keep downtime to a minimum. We accept no liability for any interruption or loss of service. We reserve the absolute right to alter, suspend, or discontinue any part of our platform or the services, including your access to it.
